1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and utxo AG ("Company", "we", "us", or "our"), a Swiss Aktiengesellschaft with registration number CH-400.3.450.669-8, governing your access to and use of the Demosthenes service ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Demosthenes is an AI-powered contact relationship management service that analyzes your communications to help you manage professional relationships. The Service may include:

• Email synchronization and analysis
• Automated contact profile creation
• AI-generated relationship insights
• Search and query functionality

Features may change, and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Violate the rights of others, including privacy and intellectual property rights
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Transmit malware, viruses, or other harmful code
• Impersonate any person or entity
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or attempt to extract source code

8. AI-Generated Content

The Service uses artificial intelligence to generate insights and analysis. AI-generated content is provided "as is" for informational purposes only. We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated content.

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for evaluating and using AI-generated content at your own risk.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UTXO AG, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• AI-generated content or recommendations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED SWISS FRANCS (CHF 100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless utxo AG and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and utxo AG regarding the Service and supersede all prior agreements and understandings.
